Renewal and Upgrade Disclosure

Your subscription will be automatically renewed, and your payment method on file will be automatically charged every 12 months based on the date you originally subscribed to the Avetta Services, unless you terminate your subscription prior to the renewal date. You can terminate your subscription at any time by using the account deactivation feature available under your primary user's profile.

Additionally, your account will be charged, and your recurring subscription fee will be adjusted when:

• You upgrade your subscription by connecting with a new client or prime contractor, adding a new client site, selecting a new trade which results in a change to your risk classification, or adding a new product or service to your subscription.
• Your subscription is upgraded as a result of a client adding you to their approved supplier list; provided that if you do not wish to connect your account with that client, you may remove the client connection by notifying Avetta. If the removal request is submitted to Avetta within 30 days of your receipt of the initial connection notification, Avetta will process a refund if you have already paid or otherwise cancel the invoice for the removed connection.
• Your subscription is upgraded as a result of a client to which you are connected adding a new product or service to its subscription, which results in a change to your risk classification.
• You no longer meet the criteria for any discount that has previously been applied to your account. For example, certain clients may negotiate subscription fee discounts for suppliers who are connected exclusively to those clients, and such discounts will no longer be available once the suppliers have additional client connection(s).

If you are subscribed to one of Avetta's worker products (“Worker Platform”), Avetta will charge you annually for the seats in the Worker Platform. If seats are added to the Worker Platform during a subscription term by you or a connected client, Avetta will charge you a prorated amount based on the remainder of such subscription term, which will be invoiced in the calendar quarter following the addition. You can adjust the number of seats at each annual renewal of your subscription term, and the subscription fee for the Worker Platform will be adjusted accordingly. In addition to the fees for seats, certain features of the Worker Platform may require additional fees or licenses.

Subscription fees are based on various factors, including the type of services subscribed to, membership tier, risk classification of your business, number of client connections, requirements from your connected clients, and any available discounts. Please refer to the invoices for specific fees, which will be displayed at the end of the registration process or when your subscription is upgraded.
