The terms below (the “Terms”) govern your access to and use of Avetta University, including any websites, portals, mobile apps, courses, assessments, and related materials and services (collectively, the “LMS Services”). For purposes of these Terms, “LMS Content” means any courses, assessments, training materials, documentation, videos, and other materials made available through the LMS Services.
If you access Avetta University as part of the Avetta Services (as defined in the End User Service Agreement, or “EUSA”), the EUSA governs your use of the LMS Services. These Terms are Product-Specific Terms under the EUSA and form part of the EUSA. In the event of any conflict relating specifically to the LMS Services, these Terms will control; otherwise, the EUSA will govern.
1. License
Subject to your continued compliance with these Terms, Avetta grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable, and revocable license to access and use the LMS Services and LMS Content solely for your organization’s legitimate internal business purposes.
You shall not, directly or indirectly:
a). use the LMS Services or LMS Content for external, commercial, public, promotional, or revenue-generating purposes;
b). make any LMS Services or LMS Content available to any third party (including affiliates) unless expressly authorized by Avetta;
c). assign, transfer, sublicense, or otherwise share access or rights under these Terms; or
d). access or use the LMS Services in any manner not expressly permitted by these Terms or authorized in writing by Avetta.
2. Acceptable Use
In addition to any acceptable use requirements set forth in the EUSA or any other agreement between you and Avetta, you must not:
a). share, resell, or commercially exploit access to any courses, exams, credentials, or other LMS Content or functionality;
b). permit account sharing or unauthorized user access;
c). copy, download, reproduce, distribute, or store LMS Content except as expressly permitted by Avetta;
d). circumvent or attempt to circumvent assessment integrity controls, including time limits, identity verification, or technical safeguards;
e). misrepresent your identity or credentials or attempt to gain unauthorized access to the LMS Services or related systems;
f). misrepresent the nature, scope, or significance of any certificates, badges, or other learning credentials issued through the LMS Services;
g). use automated tools (including bots or scrapers) or introduce malware, malicious code, or harmful content;
h). interfere with, disrupt, or degrade the LMS Services, networks, or servers, or
i). upload or transmit sensitive personal data, government identification numbers, or protected health information except where expressly permitted by Avetta and in accordance with applicable data protection laws.
You must comply with all identity verification, assessment, and usage instructions provided by Avetta or its content providers. You may not use, display, or reference any accreditation, certification, trade, or service marks in connection with LMS Content or course completion unless expressly authorized by Avetta. You must not make statements implying endorsement, approval, or certification by Avetta, any accrediting body, or any content provider unless such status is expressly described in the applicable course materials and permitted by Avetta.
3. LMS Content
LMS Content may be provided by Avetta and/or third-party content providers. All LMS Content is provided for general informational purposes only and does not constitute legal, regulatory, safety, medical, or other professional advice.
Completion of any course does not guarantee compliance with laws, regulations, contractual requirements, or client-specific standards, nor does it certify competency, qualification, or fitness to perform any task or activity. LMS Content does not replace your organization’s internal policies, procedures, site-specific requirements, mandatory training, or professional judgment.
Certificates, badges, or similar learning credentials indicate course completion only and do not constitute certification or accreditation unless expressly stated in the applicable course description. LMS Content may not address all scenarios or site-specific conditions. Local laws, site rules, and your organization’s requirements always take precedence.
The LMS Services and LMS Content are provided “as is” and “as available,” without warranties of any kind and without service level commitments. Avetta may modify, suspend, or withdraw LMS Content at any time. Avetta disclaims all liability for any loss, injury, damage, or claim arising out of or relating to use of or reliance on the LMS Services or LMS Content.
You must comply with any additional terms, conditions, or usage restrictions imposed by third-party content providers or licensors when accessing their content through Avetta University.
4. User-Uploaded Content
You may upload credentials, training certificates, and other documentation (“User-Uploaded Content”) to the LMS Services where functionality permits. You represent and warrant that all User-Uploaded Content is lawful and free from any material that is harmful, threatening, abusive, harassing, tortious, defamatory, discriminatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or otherwise objectionable. You further represent that you have all rights, permissions, and authority necessary to upload and use such content.
Avetta does not verify, validate, audit, or endorse any User-Uploaded Content, including credentials or certificates, and makes no representations regarding their accuracy, authenticity, completeness, or validity. Any display or storage of User-Uploaded Content through the LMS Services does not constitute approval, certification, or confirmation by Avetta.
You remain solely responsible for maintaining the accuracy and currency of User-Uploaded Content and for ensuring compliance with applicable laws, regulations, contractual requirements, and third-party obligations. Avetta disclaims all liability arising from reliance on User-Uploaded Content by you or any third party.
You grant Avetta a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process User-Uploaded Content as necessary to provide the LMS Services.
Avetta may remove, restrict access to, or disable any User-Uploaded Content at any time in its discretion, including where such content is infringing, unlawful, harmful, abusive, harassing, tortious, obscene, invasive of another’s privacy, hateful, or otherwise non-compliant with these Terms or applicable law.
5. Intellectual Property
All LMS Services and LMS Content are owned by Avetta or its licensors and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, adapt, translate, reverse engineer, or create derivative works based on any LMS Services or LMS Content.
No rights are granted to you except as expressly set forth herein. Avetta and its licensors reserve all rights, title, and interest in and to the LMS Services and LMS Content.
6. Service Continuity, Maintenance, and Changes
Availability of the LMS Services may be affected by planned or unplanned maintenance, updates, or outages. Avetta does not guarantee the storage, integrity, or availability of any data, records, or User-Uploaded Content within the LMS Services. Avetta shall have no liability for any loss, corruption, deletion, or unavailability of data, regardless of cause, including system failures, outages, maintenance, or termination of services.
Avetta may change hosting providers, infrastructure, technical components, or delivery methods and may implement temporary or permanent workarounds.
Avetta may modify, substitute, enhance, or discontinue LMS Content or functionality at any time to maintain compliance, security, or operational continuity. Where practicable, Avetta will use reasonable efforts to provide notice of material changes, but does not guarantee advance notice.
7. Suspension & Termination
Avetta may suspend or terminate your access to the LMS Services immediately if you violate these Terms, the EUSA, any content provider terms, or applicable law.
Upon suspension or termination, you must:
a). immediately cease all access to and use of the LMS Services;
b). delete or return any downloaded LMS Content or documentation; and
c). remove any statements, marks, or references implying accreditation, approval, or certification related to the affected LMS Content.
Avetta or its content providers may invalidate course results or revoke learning credentials (including certificates or badges) if integrity, eligibility, or license scope is compromised.
8. Updates
Subject to the EUSA and any other applicable agreement, Avetta may update these Terms from time to time. Continued access to or use of the LMS Services after the effective date of any update constitutes acceptance of the updated Terms.
